Company has to pass board resolution to do any work other than the routine/Objects clauses as to open Bank Account, to Change/appoint/Resign a Director, Appointment of Auditor, Chang in Capital, To issue shares/ Share Certificate etc….

 In a year the company’s director have to meet at least four time i.e. in every quarter and the management has to maintain this as minutes book.
